Terms of Service

Kanopy is an AI content-marketing tool that analyzes your brand from your website and social profiles and helps you generate, review, schedule, and store marketing content. Features may change, improve, or be discontinued over time.

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account.

• The Service is offered on a paid monthly subscription. Each billing cycle grants a fresh allocation of credits, which are consumed when you generate content (different content formats consume different amounts). Unused credits roll over while your subscription is active.
• You may purchase additional credits, and — if you enable it — auto top-up will charge your saved payment method to replenish credits automatically when your balance runs low. You can turn auto top-up off at any time in your settings.
• Fees are billed through our payment provider. Unless required by law or expressly stated, payments and used credits are non-refundable.
• You can cancel at any time; cancellation stops future charges, and you retain access for the remainder of any paid period. If your subscription ends (cancellation or failed renewal), your remaining credit balance is preserved for 3 months — resubscribing within that window restores it; after that it expires. We may change pricing on a prospective basis with notice.

As between you and Kanopy, you retain ownership of the brand materials you provide and the content you generate through the Service ("Your Content"). You grant us a limited license to host, process, and transmit Your Content solely to operate and provide the Service to you, including sending it to the AI subprocessors described in our Privacy Policy.

You are responsible for Your Content and for reviewing every draft before you publish or distribute it. You represent that you have the rights necessary to submit the websites, handles, and materials you connect.

Content produced by the Service is generated by AI and may be inaccurate, incomplete, or not suited to your purpose. It is provided as a draft for your review. You are solely responsible for reviewing, editing, and approving any content before using it, and for ensuring it complies with applicable laws and the rules of the platforms where you publish it.

We make no guarantee that using the Service will produce any particular business result, ranking, reach, or engagement.

You agree not to:

• use the Service to create unlawful, infringing, deceptive, or harmful content;
• violate the terms or rate limits of any third-party platform;
• attempt to reverse engineer, disrupt, or gain unauthorized access to the Service; or
• resell or provide the Service to third parties except as permitted by your plan.

The Service, including its software, design, and branding, is owned by Kanopy and protected by intellectual-property laws. These Terms do not grant you any rights in the Service other than the limited right to use it in accordance with your plan.

The Service relies on third-party providers (for example, for payments, storage, and AI generation) and may link to third-party sites. We are not responsible for the content, policies, or practices of those third parties.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, Kanopy will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.

You agree to indemnify and hold Kanopy harmless from claims, damages, and expenses arising out of Your Content, your use of the Service, or your violation of these Terms or the rights of any third party.

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to us, other users, or third parties. On termination, your right to use the Service ends; sections that by their nature should survive will survive.

Any dispute arising out of these Terms or your use of Kanopy will first be raised with us directly at the contact address below, and we will work with you in good faith to resolve it. Where a governing law is required, it is the law of the jurisdiction in which Kanopy's operating entity is established, except where the law of your country of residence applies mandatorily.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and provide notice as appropriate. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
